Deal Overview

Actelis Networks has entered into a binding term sheet to acquire Exaware Ltd. in an all-stock transaction. Exaware is an Israel-based provider of high-throughput routing, switching, and open networking platforms.

The acquisition is designed to position Actelis in the AI-driven data center networking market by combining Actelis cyber-hardened, rapid-deployment networking for IoT and broadband with Exaware’s routing and switching platforms and ExaNOS operating system. The combined architecture is intended to span secure edge, aggregation, and data center connectivity, supporting telecom, enterprise, defense, federal, and critical infrastructure networks.

The transaction is subject to completion, and the companies describe the deal as a bridge between high-capacity cloud data center infrastructure and secure edge connectivity as AI expands network bandwidth needs.
