Deal Overview

Farmer Bros. Co. has entered into an agreement to be acquired in a merger by Royal Cup, Inc., an affiliate of Braemont Capital Management LLC. If the merger closes, Farmer Bros. will become a wholly-owned subsidiary of Royal Cup.

Under the terms, each share of Farmer Bros. common stock will be converted (unless appraisal rights are exercised) into the right to receive $1.29 in cash without interest. Farmer Bros.' board unanimously approved the merger agreement and called a special stockholder meeting for May 1, 2026 at 11:00 a.m. Central Time, held virtually.

Stockholder approval is required for the merger to be completed, and the board recommends voting FOR adoption of the merger agreement.
