Amazon announced it has entered into a merger agreement to acquire satellite operator Globalstar in a transaction estimated at $11.6 billion. The deal is designed to strengthen Amazon’s Amazon Leo satellite network and expand Amazon’s Direct-to-Device satellite connectivity ambitions.

Amazon also said it reached an agreement with Apple to provide satellite service for iPhone and Apple Watch features, naming Amazon as a primary satellite service provider. The Globalstar service is described as working with iPhone 14 and later models and Apple Watch Ultra 3, including Emergency SOS, messaging, roadside assistance, and location sharing.

Globalstar stockholders will be offered a choice of $90 in cash per share or 0.3210 shares of Amazon common stock, with a value cap at $90.00 per share.
