Liminatus Pharma has proposed the merger acquisition of InnocsAI, a pharmaceuticals business in Delaware, for $320 million. InnocsAI develops advanced CAR-T and antibody-based oncology therapies aimed at hematologic malignancies and solid tumors, supporting Liminatus’ oncology cell therapy pipeline expansion. The pharmaceuticals acquisition adds clinical and preclinical CAR-T programs designed to address antigen escape, tumor heterogeneity, and the immunosuppressive tumor microenvironment in DE acquisitions. The healthcare M&A is structured as a merger acquisition where InnocsAI will combine into a newly formed wholly owned Delaware subsidiary of Liminatus, with consideration of 1.6 billion Liminatus shares at $0.20 per share plus contingent value rights tied to 20% of future net proceeds from certain strategic transactions.
