Deal Overview

LEEF Brands has entered an agreement to acquire HIMALAYA VAPOR, the California-based cannabis concentrates brand, by acquiring Standard Holdings, Inc. for approximately US$2.5 million in total consideration. The deal consideration includes 13,688,000 LEEF common shares, including management incentive shares, plus warrants with an aggregate value of US$100,000 priced at $0.25 CAD per share.

LEEF positions the acquisition as a vertical integration step, pairing HIMALAYA’s premium, full-spectrum cartridges and natural formulations with LEEF’s Salisbury Canyon Ranch cultivation and extraction platform. LEEF expects lower input costs to improve unit economics and generate meaningful free cash flow from HIMALAYA during the first year of combined operations.
