Grown Rogue to Expand Illinois Cannabis via Sea Craft

Deal Overview

Grown Rogue International entered definitive agreements with its affiliate, Grown Rogue Management Associates (GRMA), and Sea Craft, LLC to operate a cannabis production facility in Dwight, Illinois. The facility is owned by Innovative Industrial Properties and was formerly operated by PharmaCann.

Sea Craft expects to commence operations in Q2 2026, with product availability targeted for Q4 2026, subject to Illinois Department of Agriculture approval. The lease covers a fully constructed cultivation and processing facility totaling 66,000 square feet, including about 10,000 square feet of existing indoor flowering canopy, with expansion capacity to 14,000 square feet under the craft grow license.

GRMA, which is 80% owned by Grown Rogue, will acquire a 49% interest in Sea Craft and has an option to buy the remaining 51% subject to regulatory and performance-based considerations. GRMA completed a $3.0 million preferred equity investment to support projected capital needs, and the transaction includes $4.0 million of project capital.
