Battalion Oil to Acquire Sundown Assets in All-Stock Deal

Deal Overview

Battalion Oil Corporation has entered into a purchase and sale agreement to acquire certain oil and gas assets comprising 7,090 net acres located in Ward County, Texas, from RoadRunner Resource Holding LLC (formerly Sundown Energy LP). The transaction is structured as an all-stock deal.

Under the PSA, Battalion will issue 485,000 shares of its common stock to Sundown in exchange for the assets. The effective date is March 1, 2026, and closing is subject to customary closing adjustments, registrations rights, and regulatory approvals.

The acquired leases directly adjoin Battalion’s Monument Draw position, and the company expects the deal to add 30 net locations targeting Wolfcamp A, Wolfcamp B, and the 3rd Bone Spring formations.
