Coursera to Acquire Udemy in All-Stock Merger

Coursera has filed a DEFM14A proxy statement in connection with its proposed all-stock merger with Udemy. Under the merger agreement, Chess Merger Sub will merge with and into Udemy, with Udemy continuing as the surviving corporation and becoming a wholly owned subsidiary of Coursera.

The proxy materials describe special meetings for Coursera and Udemy stockholders on April 9, 2026, including a Coursera proposal to issue Coursera common stock and amend its authorized share count. Udemy stockholders will vote on adoption of the merger agreement and related matters, including a non-binding advisory vote on executive compensation tied to the merger.
