SciSparc to Acquire Xylo Endoscope Patent Portfolio

SciSparc Ltd. has signed a definitive agreement to acquire a portfolio of patents, trademarks, and intellectual property rights for endoscopic systems and medical cameras from Xylo Technologies Ltd., including the MUSE™ system. The MUSE device is a single-use endoscopic platform designed for transoral fundoplication to treat gastroesophageal reflux disease (GERD).

SciSparc plans to begin commercialization immediately after closing. Under the agreement, SciSparc will issue ordinary shares to Xylo at closing that represent 19.99% of SciSparc’s issued and outstanding share capital as of the closing date set for March 8, 2026, with SciSparc able to substitute pre-funded warrants at its discretion. The deal remains subject to customary closing conditions and regulatory approvals.
