Apollo Commercial Real Estate Finance, Inc. has called a special meeting of stockholders on April 21, 2026 to vote on a proposed sale of its commercial real estate loan portfolio to Athene Holding Ltd. The transaction is structured as an asset sale under an asset purchase and sale agreement dated January 27, 2026.
The proxy also includes a proposal to issue shares of Apollo common stock in lieu of cash to the company’s manager, ACREFI Management, LLC, subject to approval of the asset sale. Stockholders will vote on adjournments if needed to secure sufficient votes.
