Apollo Commercial Real Estate Finance to Sell Loan Portfolio

Apollo Commercial Real Estate Finance, Inc. filed a preliminary Schedule 14A proxy statement for a special meeting of stockholders to vote on the sale of its commercial real estate loan portfolio to Athene Holding Ltd. The transaction is structured as an asset purchase and sale agreement dated January 27, 2026.

The proxy also includes a proposal to issue shares of Apollo common stock in lieu of cash to the company’s manager, ACREFI Management, LLC, subject to approval of the asset sale. A third proposal would allow adjournments to solicit additional proxies if votes are insufficient.
