Deal Overview

Nemetschek Group has signed a definitive agreement to acquire Heavy Construction Systems Specialists, LLC (HCSS) from Thoma Bravo. HCSS is headquartered in Sugar Land, Texas and provides construction technology software for infrastructure and heavy civil construction in North America.

HCSS supports more than 4,000 companies and employs more than 550 professionals. Its end-to-end platform is used to improve efficiency, safety, and communication across infrastructure and heavy civil projects. In 2025, HCSS generated approximately $215 million in revenue, with ~21% ARR growth and an estimated ~40% EBITDA margin.

HCSS will join Nemetschek’s Build & Construct segment, alongside Bluebeam, GoCanvas (including SiteDocs), and Nevaris. The transaction is positioned to expand Nemetschek’s AEC/O vertical AI and lifecycle data capabilities.
