Innovative Aerosystems Asset Purchase with Honeywell

Innovative Solutions & Support, Inc. (dba Innovative Aerosystems) and Honeywell International Inc. entered an asset purchase and license agreement dated March 28, 2026. The agreement sets terms for purchase and sale of assets, assumption of liabilities, and a software license component within the “Licensed Products.” It also includes confidentiality obligations, records and audit rights, litigation provisions, and compliance-with-laws representations.

The exhibit includes sections on purchase price allocation and inventory adjustment, plus noncompetition and non-solicitation covenants. The agreement also covers indemnification procedures and survival of representations and warranties.
