Deal Overview

Shell has completed the acquisition of ARC Resources, a oilfield services business in Canada’s Montney shale basin, for $13.6 billion. Shell acquires ARC Resources to expand Canadian energy production, adding roughly 370 thousand barrels of oil equivalent per day and strengthening long-term output through 2030. ARC Resources operates more than 1.5 million net acres in the Montney formation, supporting Shell’s low-cost, lower-carbon intensity strategy and LNG-linked integrated gas plans. This strategic acquisition is structured as a merger acquisition with $2.8 billion in net debt assumed, funded by $3.4 billion in cash and $10.2 billion in Shell shares, and is expected to close in the second half of 2026 subject to approvals.
