H100 Completes Acquisition of Future Holdings for SEK 6.89M

H100 Group AB has completed its acquisition of 100% of the shares in Future Holdings AG, a Swiss-based Bitcoin treasury and capital markets company. Total consideration is SEK 6,890,740, settled through a set-off issue of 3,146,456 new H100 shares at a subscription price of SEK 2.19 per share.

The subscription price represents an approximately 70% premium to H100’s most recent closing share price. As part of the transaction, Richard Byworth, Marc Syz, and Donald Ewer will take active consultant roles supporting H100’s Switzerland expansion and capital markets initiatives. Shareholders representing more than 20% of H100’s shares and votes have proposed appointing Byworth as Board Chair and Syz and Ewer as directors at an extraordinary general meeting.
