Enhabit, Inc. has filed a preliminary proxy statement (PREM14A) for a proposed merger with Anchor Parent, LLC and Anchor Merger Sub, Inc., affiliates of funds advised by Kinderhook Industries. Under the agreement dated February 22, 2026, Merger Sub will merge with and into Enhabit, with Enhabit surviving as a wholly owned subsidiary of Parent.
The proxy covers a special meeting of Enhabit stockholders to vote on adoption of the merger agreement, and also includes a non-binding advisory vote on merger-related compensation for named executive officers. Approval of the merger proposal requires a majority of the voting power of Enhabit common stock outstanding as of the record date.
