Badger Meter to Acquire UDlive for $100M

Badger Meter, Inc. has signed a definitive agreement to acquire UDlive Limited, a UK provider of hardware-enabled software for sewer line monitoring, for $100 million plus contingent consideration. The deal is expected to close at the end of April 2026 and will be funded by cash on hand.

UDlive supplies low-power, easy-to-install water level sensors at manholes paired with visualization and analytics software for continuous, real-time insight into sewer network conditions. In fiscal 2026 (ended Feb 28, 2026), UDlive reported $22 million of revenue and generated positive operating profit.

Badger Meter expects the combination of UDlive with its SmartCover solution to expand BlueEdge® water management capabilities and broaden sewer line monitoring coverage beyond the UK.
